Integrated Defense Technologies Completes Acquisition

HUNTSVILLE, Ala. -- Integrated Defense Technologies, Inc. ("IDT") announced today that it has successfully completed the acquisition of BAE SYSTEMS Advanced Systems Gaithersburg, Maryland operation. BAE SYSTEMS Gaithersburg operation, now known as Signia-IDT, is a leading designer and manufacturer of high performance radio frequency (RF) surveillance equipment used in signals intelligence applications. The acquisition enhances Integrated Defense's opportunities for participation in projected increases in spending for intelligence and information technology used to transform the U.S. military's intelligence gathering and Homeland Security efforts. Signia is expected to add approximately $81 million to Integrated Defense's annual revenue, generate $17 million of EBITDA, and be accretive to earnings in 2003. The purchase was financed through available cash and an add-on to Integrated Defense's existing senior credit facility. "We are excited to have the entire Gaithersburg team join the IDT family. Signia will become part of Integrated Defense's Communications and Surveillance Systems group which provides a range of electronic transmission, signals intelligence and radar systems, including RF transmitters for the U.S. Armed Forces, microwave subsystems for the Predator and Global Hawk UAVs, signals intelligence collection equipment and subsystems for U.S. and foreign governments, and high performance weather radar systems for governments worldwide.
